Terms and Conditions
Terms and conditions are legal agreements that outline the rules and guidelines for using a service, product, or website.
They define the rights and responsibilities of both the provider and the user, helping to protect both parties in case of disputes.
1. Introduction
These Terms and Conditions govern the provision of our IT support services.
Additionally, by entering into an agreement with us, you also agree to these following Terms.
2. Services Provided
Basically, we provide scheduled remote IT maintenance services on your business computers and network.
Our standard service includes:
- Monthly remote access to each PC covered under the agreement.
- Installation of operating system updates and patches as necessary.
- Antivirus and malware scans.
- Verification of successful data backups
- Basic troubleshooting and performance checks.
Any additional work outside the scope of this agreement may consequently be billed separately at our standard hourly rate.
3. Access Requirements
You certainly agree to ensure that:
- Remote access to each PC is possible during out-of-usual-work hours (5PM – 9AM and Weekends).
- PCS remain powered on and connected to the internet.
- Remote access must not be hindered.
- All of the PC’s under agreement must remain accessible at all times to ensure network security.
- Necessary passwords and credentials are made available to us securely.
- A backup unit is available as it is required for the backup service to work.
We explicitly reserve the right to skip maintenance on machines that cannot be accessed during the scheduled time.
Accordingly, a consistent lack of access despite warnings will be deemed a breach of the agreement.
4. Fees and Payment
- Fees are calculated annually in advance based on the number of PC’s covered.
- Payment must be made in full before the commencement of services.
- Services will not commence or continue until payment is received.
We also reserve the right to revise our pricing at the end of each contract year.
5. Term and Termination
- Contracts are valid for one year from the date of payment.
- You may cancel the contract at any time; however, refunds will not be issued for unused time.
- We may terminate the agreement with 30 days’ notice or immediately if you breach these terms; however, refunds will not be issued for unused time.
- Once a Termination has been instigated. You should revoke access to our systems.
- We cannot be held liable for any issues that arise with your systems once our agreement has ended.
6. Backup and Data Responsibility
- We check that backup processes are operational, but we are not liable for data loss due to hardware failure, user error, or third-party software issues.
- You are responsible for ensuring that you have a suitable backup system and that your data is properly protected.
7. Liability
- We are not liable for any indirect, incidental, or consequential loss or damage.
- Our total liability under this agreement is limited to the total annual fee paid by you.
8. Confidentiality
We treat all data and information accessed during our work as strictly confidential.
We will not disclose any information to third parties except as required by law.
9. Data Protection
We comply with applicable data protection laws, including the UK GDPR.
By entering this agreement, you acknowledge that we may process your data to deliver our services.
10. Support Hours
Monthly maintenance is performed out of business hours.
Emergency support or unscheduled work will always be available, but may incur additional fees.
11. Amendments
We may update these Terms from time to time.
12. Governing Law
Finally, these Terms are governed by and construed under the laws of the UK jurisdiction.
